Development and license agreement

This Development and License Agreement is a non-exclusive Agreement between (your company name) and Two Pilots.

Subject
-------
The subject of the present Agreement is "PDF Online Custom Service" hereinafter called as Service including the whole package, namely the development of scripts and web-forms, the scripts (hereinafter called Scripts) and web-forms themselves.

Accepting or rejecting the Agreement
------------------------------------
Any usage of the Scripts, including installation of the Scripts or any of their parts on a server, loading of them into operating memory (RAM) or permanent storage on a computer's disk or other storage medium, as well as any other type of usage means that you accept all the terms and conditions of the present Agreement. If you do not agree with any statement of this Agreement, you should promptly terminate usage of the Scripts and delete the results of their work from your computer.

Schedule and Price
----------------------
Two Pilots agrees to develop and deliver the required Scripts and web-forms as outlined in the PDF Online Custom Service Ordering Form and/or discussed in the further correspondence. The technical task shouldn't be changed after the Agreement is signed.

Work on your script will only start after prepayment is made, and will be completed within ... business-days after pre-payment.

The prepayment is $XXX. The prepayment should be made after you have prepared your server to set up and run the test scripts. The prepayment is non-refundable.

The final payment cost is $YYY, payable upon final sign-off of delivered Scripts and web-forms. The demo version of the Scripts will be delivered before the final payment is made, the full version of the Scripts will be delivered after the payment.

Total cost: $ZZZ.

Usage
-----
The Scripts are licensed by the present Agreement to be used for any commercial and other proper purposes.

You may not integrate the Scripts into the products that belong to any other individual or organization. You may not lease, rent, resell or give away the Scripts to any other individual, entity or institution.

The Script codes are confidential and cannot be published in any format or media without prior written consent of Two Pilots.

Purchased Scripts can be used only within one server location. To install them on more than one server, you must make an additional payment.

Two Pilots reserves the right to use the developed Scripts in further developments for any purposes.

Time restriction
----------------
This product has no limits in terms of its usage.

Distribution restrictions
-------------------------
You may not distribute the Scripts.

You may not lease, rent, or resell the Scripts or any derivative product that competes directly or indirectly with the Service without prior written agreement of Two Pilots.

Technical support
-----------------------------
Two Pilots will provide technical support during the 12 months after the payment received. Technical support will be waived if the provided Scripts are modified.

Modifications to the Scripts
-----------------------------
You may modify the Scripts as you wish. However, if the Scripts are modified, Two Pilots will not provide any further technical support.

If needed, Two Pilots can make appropriate changes to your Scripts for an additional charge. In this case, further technical support will not be waived because Two Pilots developers can verify the quality and reliability of the modified Scripts.

Confidentiality
----------------------
Two Pilots shall not disclose any of your confidential information in any manner whatsoever and shall hold and maintain confidential information in strictest confidence. Confidential information shall be deleted from Two Pilots computer(s) or other storage medium as soon as Two Pilots has finished its work.

Two Pilots shall not use any part of your website design, excluding modifications made by Two Pilots, in its future work.

Warranty and guarantee

The Scripts are provided as is without warranty of any kind, either expressed or implied, including but not limited to the implied warranties of merchantability and/or suitability for a particular purpose. You assume the entire risk of any damage caused by the Scripts.

Changing terms and conditions of this Agreement
-----------------------------------------------
This agreement may not be changed or amended, in whole, or in part, except by writing executed by both parties.
